The board of directors in a housing cooperative
The general meeting is the most important gathering for the housing cooperative. Here, crucial decisions regarding the association are made. The following points are typically discussed during the general meeting:
Operating budget.
Maintenance plan and operating budget.
Annual financial statements, including the approval of ordinary and extraordinary expenses.
The housing tax must be determined.
Implementation of any maintenance and improvement projects.
Election of board members.
Selection of administrator and auditor.
There are two types of general meetings: the ordinary general meeting and the extraordinary general meeting. They are described below:
The ordinary general meeting is held annually and typically takes place 3-5 months after the end of the financial year.
Extraordinary general meetings are held as needed, typically when decisions need to be made regarding maintenance and improvement projects or changes to the association's bylaws. Additionally, extraordinary general meetings may be held if a previous general meeting did not have enough attendees to make a binding decision.
As a board, you must be aware of the deadlines and formal requirements for notifying members about general meetings. For the ordinary general meeting, the notice period is usually between one week and one month, while it is typically shorter for an extraordinary general meeting. It is crucial to adhere to the deadline for holding the ordinary general meeting, which should take place no later than 3-5 months after the end of the financial year. While there may not be sanctions for exceeding this deadline, it should be respected. The association's bylaws will specify the minimum content requirements for the notices of both ordinary and extraordinary general meetings. Typically, the time, location, and agenda for the meeting should be included in the notice.
Be aware that the bylaws may also include additional formal requirements.
